Welcome to the ETPI Platform (the “Platform”), owned and operated by EscroTr.st Pro Inc. (“ETPI”). By accessing, registering, or using the Platform, you (“User”) acknowledge and agree to be bound by these Terms of Use & Privacy Policy (“Terms”). If you do not agree, you must not use the Platform.

1. DEFINITIONS

For clarity, the following terms are defined:

1.1 “ETPI Platform” – The proprietary digital system of ETPI, including its web application, Android and iOS mobile applications, databases, source codes, payment gateways, features, and future innovations.

1.2 “User” – Any individual, business, organization, or entity accessing or using the Platform.

1.3 “Account” – A registered profile created by a User to access services on the Platform.

1.4 “Services” – Functions provided through the Platform, including:

• Escrow Services – Secure facilitation of financial transactions between parties.
• Business Networking – Tools enabling professionals and companies to connect and expand opportunities.
• Trade of Products and Services – Marketplace features allowing Users to list, offer, or procure goods and services.
• Job Posting – Employment listings for recruitment and hiring.
• Charitable Fundraising – Donation and philanthropic initiatives facilitated through ETPI-nominated accounts.

1.5 “Content” – Any text, images, videos, information, or materials uploaded, submitted, or displayed on the Platform by Users.

1.6 “Personal Data” – Any information that can identify an individual, as defined under the Data Privacy Act of 2012 (RA 10173), including but not limited to name, address, email, phone number, government-issued IDs, and financial data.

1.7 “Confidential Information” – Non-public information of ETPI, including source codes, algorithms, business processes, trade secrets, strategies, and internal communications.

1.8 “Transaction” – Any exchange of value, service, or data facilitated within the Platform, including escrow payments, sales, networking deals, and donations.

2. ACCEPTANCE OF TERMS

By registering an Account or using the Platform, the User affirms that they:

• Are at least 18 years old and legally capable under Philippine law;
• Will use the Platform only for lawful purposes;
• Agree to comply with the Philippine Data Privacy Act (RA 10173), Electronic Commerce Act (RA 8792), Anti-Money Laundering Act (RA 9160, as amended), and other applicable laws.

3. USER ACCOUNTS

3.1 Registration – Users must provide accurate and truthful details during sign-up.
3.2 Responsibility – Users are solely responsible for safeguarding their login credentials.
3.3 Suspension – ETPI may suspend or terminate accounts if Users violate these Terms or applicable laws.

4. USER OBLIGATIONS AND PROHIBITED USES

4.1 Users agree not to:

• Engage in illegal, fraudulent, or abusive activities.
• Upload false, misleading, defamatory, or harmful content.
• Use the Platform for money laundering, scams, or prohibited trade.
• Hack, reverse-engineer, or interfere with the Platform’s operation.
• Misuse ETPI’s intellectual property, content, or branding.

4.2 ETPI reserves the right to remove content or suspend accounts for violations.

5. ESCROW SERVICES

5.1 ETPI acts as a facilitator of escrow transactions and is not a bank, financial institution, or guarantor.
5.2 Funds held in escrow shall remain in ETPI’s nominated Bank Partner until release conditions are met.
5.3 ETPI is not responsible for:

• The quality or delivery of goods or services between Users;
• Failure of parties to fulfill contractual obligations;
• Disputes between Users.

6. BUSINESS, TRADE, JOB POSTING, AND CHARITY FUNCTIONS

6.1 Users may list business opportunities, trade offers, job openings, and charitable causes subject to ETPI’s approval.

6.2 ETPI does not guarantee the accuracy, legitimacy, or reliability of third-party listings.
6.3 Donations and charitable contributions must be processed only through ETPI’s nominated accounts.

7. PAYMENTS AND FEES

7.1 All transactions must pass through ETPI’s nominated accounts.
7.2 Users agree to pay applicable platform service fees, transaction charges, or payment processing costs.
7.3 ETPI reserves the right to modify fees with notice to Users.

8. DATA PRIVACY AND COLLECTION

8.1 ETPI collects Personal Data for the following purposes:

• Account creation and identity verification;
• Secure processing of transactions;
• Communication with Users;
• Improvement of Platform features and services;
• Compliance with legal and regulatory requirements.

8.2 ETPI may collect the following types of data:

• Personal Information (name, email, contact number, ID);
• Financial Data (bank details, payment history, escrow transactions);
• Usage Data (logins, preferences, device information).

9. DATA STORAGE, SECURITY, AND SHARING

9.1 ETPI employs reasonable organizational, technical, and physical safeguards to protect User data, including encryption, secure servers, and restricted access.
9.2 Personal Data shall not be shared with third parties except:

• As required by law or court order;
• With consent of the User;
• With trusted service providers strictly for operational purposes.
  9.3 ETPI retains Personal Data only as long as necessary for lawful and business purposes.

10. USER RIGHTS UNDER RA 10173

Users are entitled to:

• Right to Information – Be informed of how their data is processed.
• Right to Access – Request access to their Personal Data.
• Right to Rectification – Correct inaccurate or outdated information.
• Right to Erasure or Blocking – Request deletion of data under lawful conditions.
• Right to Object – Withhold consent to certain types of processing.

Requests may be directed to ETPI’s Data Protection Office (DPO) at G/F CYA Centrum Military Cut-off, Baguio City, Philippines.

11. INTELLECTUAL PROPERTY

11.1 ETPI owns all rights to the Platform, including codes, software, trademarks, logos, and content developed by ETPI or its authorized partners.
11.2 Users retain ownership of content they upload but grant ETPI a royalty-free license to use and display such content within the Platform.
11.3 Unauthorized copying, distribution, or reverse-engineering is prohibited.

12. DISCLAIMERS AND LIMITATION OF LIABILITY

12.1 The Platform is provided on an “as is” and “as available” basis. ETPI does not guarantee uninterrupted service or error-free performance.
12.2 ETPI shall not be liable for:

• Indirect, incidental, or consequential damages;
• Losses caused by User negligence, third-party acts, or force majeure;
• Misuse of the Platform by Users.

13. TERMINATION OF USE

13.1 ETPI may suspend or permanently terminate a User’s account if:

• Terms or laws are violated;
• Fraudulent or illegal activity is detected;
• Platform security is compromised.

13.2 Users may voluntarily terminate accounts upon written notice to ETPI, subject to settlement of obligations.

14. MODIFICATION OF TERMS

ETPI reserves the right to amend these Terms and Privacy Policy at any time. Users will be notified of material updates, and continued use constitutes acceptance.

15. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the Republic of the Philippines. Any dispute shall undergo mediation first, and if unresolved, arbitration in Makati City under PDRCI Rules.
